My answer is C.
A: PM is responsible for this, as well as any other employee or contractor
B: Yes, it's a matter of legality of PM's actions. PM has to be confident that he/she is doing legal things only. For his/her own safety.
D: That's a responsibility according to PMBOK Code of Conduct.
C: What's wrong in a conflict of interest? It's a good and very important thing for any project, any communication and any work. I would say that a PM should do everything possible to reveal such a conflict and resolve it.
